These terms explain how Onyedika Edewor & Co works with clients — the services we provide, what we ask of you, how fees work, and how we protect confidential information.

Section 01

Agreement to Terms

By accessing or using the website and services of Onyedika Edewor & Co, you agree to be bound by these Terms of Service.

If you do not agree to these terms, please do not use our services.

Section 02

Our Services

Onyedika Edewor & Co provides corporate legal services including company incorporation and registration, business name registration, trademark services, annual returns filing, post-incorporation changes, compliance services, and legal consultation.

Section 03

Client Registration & Accounts

Registration for our services requires accurate, current, and complete information.

You are responsible for keeping your credentials confidential, for all activity under your account, and for keeping your information up to date.

Section 04

Fees & Payment

Fees are payable in full before work begins. We do not issue invoices or offer credit terms, and no work is started, and no filing made, until payment has cleared.

The fee for each service is shown before you commit to it. Where a matter cannot be priced from our published rates, we will tell you what it costs and you may then choose to proceed; nothing is owed unless and until you do.

Government and statutory charges — including Corporate Affairs Commission fees, stamp duty, and registry disbursements — are collected at cost and passed on in full without mark-up. Where such a charge depends on figures you supply, such as share capital, the amount shown is calculated from those figures and is itemised separately before payment.

A receipt is issued for every payment received and is the firm's tax document for it. Value added tax is charged at the prevailing statutory rate and shown separately.

Where you are obliged by law to deduct withholding tax from professional fees, you transfer the net amount and remit the deduction to the Nigeria Revenue Service yourself. The fee is treated as settled in full on receipt of the net amount, and we ask that you send us the withholding tax certificate for your file.

If we are unable to act for you — including where our conflicts check does not clear — we refund what you have paid in full and tell you why.

Because payment precedes performance, no sum falls due after work is done and no interest, late-payment charge or collection cost arises under these terms.

Section 05

Client Obligations

Clients agree to provide accurate and timely information, respond promptly to enquiries, pay fees when due, and comply with all applicable laws.

Section 06

Limitation of Liability

We are not liable for delays or rejections caused by government agencies.

Our liability is limited to the fees paid for the specific service in question. Indirect, consequential, and force majeure damages are excluded.

Section 07

Intellectual Property

All content on this website — text, logos, and other materials — is the property of Onyedika Edewor & Co and protected by intellectual property law.

Reproduction without permission is prohibited.

Section 08

Confidentiality

We maintain strict confidentiality over client information, in keeping with legal professional privilege and applicable data protection law.

Section 09

Termination

Either party may end the engagement by written notice.

On termination, outstanding fees become due immediately, and documents are returned upon settlement of what is owed.

Section 10

Dispute Resolution

Disputes shall be resolved through good-faith negotiation, mediation, or arbitration under the laws of the Federal Republic of Nigeria.

Section 11

Changes to These Terms

We may update these terms from time to time. Continued use of our services after an update constitutes acceptance of the revised terms.
