A business name (sole proprietorship) is not a separate legal entity — the owner is personally liable for the business's debts. A company (Ltd or PLC) is a separate legal person, with limited liability for its shareholders. Business names are simpler and cheaper to register.

Business names in Nigeria are registered once and do not expire. You must, however, file annual returns with the CAC each year to stay in good standing and avoid penalties.

Typically 12–18 months in total: search (1–2 weeks), filing (immediate), examination (3–6 months), publication (a two-month opposition window), and issuance of the registration certificate.

A Nigerian trademark registration is valid for an initial period of seven years from the filing date, and can then be renewed indefinitely in fourteen-year periods on payment of the renewal fee.

[ Annual Returns & Compliance ]
For companies, annual returns are due within 42 days of the Annual General Meeting. Most companies hold their AGM before June 30th, putting returns due by mid-August. For business names, returns are due by June 30th each year.
Late filing attracts penalties that increase with each year of non-compliance, and a company that persistently fails to file can be struck off the CAC register. We recommend compliance reminders — it is a service we provide.
The current list of directors and the secretary, the shareholders' register, annual financial statements, and any changes made during the year (address, directors, share capital). We compile all of it as part of our service.
Yes. Every registered company must file annual returns, whether actively trading or dormant. Dormant companies may file simplified returns, but they are not exempt.
